Mr. Ward called the meeting to order at 7:00 PM.
1. APPROVAL OF MINUTES -October 20,2011
Motion was made by Mr. Chase and seconded by Ms. Baldwin to approve the minutes of
October 20, 2011 as written.

2. BOND STATUS -Capua Estates
Mr. Capua was in attendance this evenin£. The Performance Agreement for this
subdivision will expire on November 30 . The Engineering Department submitted an
updated punch list this afternoon. Mr. Capua stated that he contacted the Engineering
Department several times this week and was informed that they did not need anything
from him. Paving of the subdivision is scheduled for November 29th • He requested an
extension this evening to January 12,2012. He stated that some of the items on the most
recent punch list were completed today and that he would be requesting a bond release.
Mr. Ward explained to him that the Board cannot release his bond until all work has been
completed and approved. He expressed his dissatisfaction for receiving the punch list
this evening and not sooner.
Motion was made by Mr. Chase and seconded by Ms. Baldwin to extend the Performance
Agreement for Capua Estates to January 19, 2012.

Brian Huntley of Tighe & Bond was in attendance as well as Ben Axelman of Citizens
Energy and John Tourtelotte of Rivermoor. Mr. Huntley explained that there are three
parcels in the lease agreement at the Mushy's site for a proposed solar facility. This
ANR plan shows the entire solar project will now sit on one parcel. He stated that the
restaurant is on a separate lot and that is not changing. Mr. Ward asked how much
parking that is used for the restaurant will be eliminated. The owner of the property was
in attendance and stated that the restaurant is approximately 1,000 SF and he has twenty
parking spaces and none will be lost with this project. Ms. Dachos stated that the parking
for the restaurant should be shown on the site plan.
Motion was made by Mr. Chase and seconded by Mr. Paleologopoulos to approve the
ANR plan for Mushy's Golf Center LLC on Main Street under "Subdivision Control Law
Not Required".

4. SITE PLAN -Main Street -Rivermoor-Citizens Agawam LLC
Brian Huntley of Tighe and Bond began the presentation by stating that the site is a
capped landfill and currently a driving range and that they submitted a post closure use
application to DEP for the construction of a 1.5 to 2 megawatt solar facility. Per the Fire
Department they have "bumped out" an area with access for turnaround on the gravel
maintenance road. He stated that in terms of maintenance, the site will be mowed four
times per year or more if needed to keep the grass no longer than 8" and the clippings
will be bagged. He stated that they have removed all panels from the restaurant site and
have maintained the required setbacks and sideyards. He went on to say that the entire
site will have a 9' chain link security fence with slats which will provide a visual barrier
and there will also be a raised planted berm (shrubs). He also stated that per the Town
Engineer the construction access road will be gravel on top of existing grade and no
excavation into the ground. There is an existing Town of Agawam drainage easement on
the site that they have stayed off of and there is also a MassDOT easement with a 30" line
which they will straddle with the layout and panels will be above it. He stated that there
is no easement on record and they are not proposing any changes to the manholes. Mr.
Axelman then addressed the Board and stated that this is a similar situation to the facility
on Shoemaker Lane and will be connected to the WMECO grid, however, this power will
be sold to HP Hood which should provide them with an approximate $50,000 savings in
energy costs. He went on to say that there will be 7,000 panels. Mr. Ward asked what
type of impacts they anticipate. Mr. Huntley explained that this site is a soil capped
landfill (approximately 2'); wear and tear on the site will primarily be on the access road;
a small amount of gravel will be placed under each pad; and the ballasts will sit on-grade
piers. He went on to say that an interconnection agreement with WMECO will be
needed. Mr. Tourtelotte stated that this proposal is the same type of construction that
they have used on brownfield sites in eastern Massachusetts. At this time Mr. Chase
removed himself from the discussion.

Ms. Baldwin asked what the setback for the secondary interconnection is. Mr. Axelman
stated 200'. Mr. Paleologopoulos asked if there were any security concerns with the site
(i.e. active vents for gas). Mr. Axelman stated that there will be a 9' fence with slats and
a 3' berm in the front of the site and the remainder of the site will have a 6' chain link
fence with no slats and that Police and Fire will have a key to the gate. He then stated
that the owner of the parcel has a direct line of sight from the restaurant as well. Mr.
Paleologopoulos then asked about snow removal. Mr. Axelman stated that there is
generally no a need for snow removal; the site will be monitored and operated remotely
and they do not intend to plow it. Mr. Paleologopoulos then asked about Fire access.
Ms. Dachos stated that Fire access is needed for possibly brush fires. Mr. Tourtelotte
stated it would also be needed for ambulance access during construction. Mr. Ward
requested that the information on the parking at the restaurant be submitted to the Board
or shown on the plan.
Motion was made by Ms. Baldwin and seconded by Mr. Paleologopoulos to approve the
Site Plan for Rivermooor-Citizens Agawam LLC on Main Street with the following
conditions: information on the number of parking spaces at the Main Street GriU
restaurant and documentation that there is adequate parking is to be provided to the
Planning Board; a sample of the proposed slats to be used in the 9' security fence is to be
submitted to the Board; and all professional staff comments are to be addressed.

5. BOND RELEASE -Dova Subdivision
Mr. Aimua has requested a release of bond on the Dova subdivision. The current amount
being held is $3500. The Engineering Department submitted a memo stating that they
are waiting for an as-built plan before they can recommend release.
Motion was made by Ms. Baldwin and seconded by Mr. Chase to deny the request for
release of bond on the Dova subdivision based on the Engineering Department
comments.

6. DISCUSSION -Zoning Revisions -J. Messick, Ch., Zoning Review
Committee
Town Council member and chairperson of the Council's Zoning Review Committee Jill
Messick was in attendance this evening to discuss the Board's proposed zoning revisions.
Ms. Dachos explained that after Jessica Allan 's presentation to the Council on her
findings of her zoning review, the Council referred the matter to the Zoning Review
Committee. She also stated that there is a possibility of technical assistance funding for
the PVPC to v.rite some of the recommendations. Ms. Messick suggested that the Board
submit proposed zoning amendments in increments starting with the level of ease. It was
agreed that the first (Round 1) should be: definition of family; reference to building

materials (Ms. Dachos stated that Jessica Allan can provide samples of both); definitions;
and dimensional standards. Ms. Dachos stated that she would ask Ms. Allan to update
the definitions that were prepared previously. Mr. Chase stated that during the
interviews, he found there was a need for parking regulations and standards. Ms. Dachos
agreed and stated that if the parking regulations were included in the Zoning Bylaws they
would then be enforceable by the Building Inspector.
7. DISCUSSION & VOTE -PVPC Valley Vision Update
The members received copies of the Pioneer Valley Planning Commission's Valley
Vision Update. The PVPC is asking for endorsement of a Memorandum of Agreement
by the Mayor.
Motion was made by Mr. Paleologopoulos and seconded by Mr. Chase to recommend
that the Mayor endorse the Memorandum of Agreement with the Pioneer Valley Planning
Commission regarding the Valley Vision Update.

8. PVPC -Vote for Commissioner and Alternate
Motion was made by Ms. Baldwin and seconded by Mr. Paleologopoulos to appoint Mr.
Chase as Agawam's Alternate Commissioner to the PVPC.

Judging Process
Evaluations will take into consideration differences in size, region and scope of projects as needed.
An objective judging panel will make the final assessment and selection. The judging panel will
include experts from academic institutions, the USDA, dairy science organizations, the Intemational
Dairy Foods Association, the National Milk Producers Federation, national dairy publications,
environmental leaders and dairy industry leaders.
Award Winners
Winners will be notified by April 1, 2014. Winners will receive:
• An official commemorative plaque.
• Recognition via public relations and other promotional activities, including at an awards
ceremony during a meeting of the Innovation Center's Sustainability Council, the industrywide
leadership team. This event is expected to be held in April 2014.
• Use of the U.S. Dairy Sustainability Award logo for marketing purposes for up to one year.

Dear Deborah:
On behalf of Rivermoor -Citizen's Agawam, llC, Tighe & Bond is pleased to submit the
attached parking sketch as required in the November 18, 2011 approval letter.
The gross floor area of the restaurant building is 1,290 square feet based on survey
information. Conservatively assuming that all of this area is devoted to patron use, the
zoning requirement of one stall per 50 square feet would require 26 stalls. The zoning
bylaws also require one parking stall per two employees, which based on information
provided by the owner, would add two more parking stalls required. The total requiredment
would then be 28 stalls for the restaurant use.
The site layout attached utilized 9' by 18' stalls with a 24' wide aisle as required in the
zoning bylaws. Without utilizing the area between the restaurant and Main Street, the site
will comfortably support 34 parking stalls, which exceeds the requirement and therefore
should confirm to the Planning Board that there is adequate parking.

I. Engineering is concerned about maintaining proper traffic flow :llld parking for the Main Street Grille.
Truck deliveries may be difficult due to the proximity of the proposed fence and utility pole to the north
of the restaurant. Please show the proposed traffic flow and parking spaces.
2. Engineering spoke with Brian Hunter of Tighe & Bond regarding the access road. They are proposing
to fill this area and have a maximum side slope of 3: I. This may impact the extents of the solar panels.
3. Engineering has been doing extensive research regarding the drainage systems in this area. There
appears to be drainage owned by State, Town and private owners that all connect near the southeast
corner of the Grimaldi property (see attached). It is unclear which entity owns and is responsible for
maintaining various portions of this drainage system (particularly the portion extending to the final
outfall). The proposed plan should not conflict with this system, in fact, the access road would be
helpful if any future maintenance is required. However, morc research is needed to determine if
additional Town/State or private drainage easements are necessary.

On behalf of Rivermoor-Citizens Agawam, LLC, we are responding to comments submitted
regarding the Site Plan Review application submitted to the Agawam Planning Board for a
proposed solar photovoltaic project at 369 Main Street. On November 15, 2011, you
provided comments/requests for additional information in a letter sent via email, a copy of
which is attached for reference to this letter. The review comments and questions are
shown below in bold/italics, followed by responses.

1) Provision for Traffic Flow -Proposed access to the site is located off of Main
Street on the north side of the existing restaurant. There will be a double
swing gate 16' wide at the entry point which is located a little over 100'
from Main Street. The gate shall consist of chain link. Screening of the
facility through the gate should be provided if possible.
Response: Enclosed herein is a revised site plan that indicates the gate will contain green
vinyl slats to provide additional screening of the site.
2) Parking -The site as laid out appears to impact the parking for the
restaurant. Agawam's parking guidelines recommends one parking space
for each fifty (50) square feet of floor area devoted to patron use excluding
restrooms and one (1) space for each two (2) employees. A plan showing
how these guidelines are being met must be provided for the restaurant.
Response: Revised Site Plans submitted on November 10, 2011 eliminated the solar panels
from the restaurant property. As such, no change in the restaurant property, including the
number of parking spaces will occur.
3) Landscaping/Screening and Buffers -The following landscape note must be
placed on the plan: "All plantings must be maintained and that portion of
the public way abutting the parcel and including the treebelt shall be
maintained in a safe and attractive condition by the owner of the parcel." No
landscape plan has been provided. A 9' high vinyl coated chain link fence
with privacy slats is proposed around the most visible portions of the site.
What is the color of the fence and inserts? To break up the long expanse of

fencing in the visible locations, a landscaping plan should be submitted. A
variety of screening materials could be utilized. The plan must show
location, size and species.
Response: The above referenced notation has been added to the revised site plan. The
revised site plan also indicates the proposed fence and vinyl slats will be green.
Landscaping has been added to the site plan including location, size, and type of species of
proposed plantings. Rivermoor is proposing to use two different deciduous shrubs in
alternating groups of seven as a visual buffer. Forsythia Suspensa -Weeping Forsythia and
Comus Alba -Variegated Red Twig Dogwood are proposed to be installed on a constructed
berm in front of the proposed fence to provide a varied screening. This plan depicts 4-6' tall
plants planted at 6 foot spacing along the front of the fence to break up the visual massing
of the fence.
4) Sign Location -Is there to be a Rivermoor/Citizen's sign? If so, where is it
located and what will it look like?
Response: Sheet 3 (Proposed Site Plan) indicates a sign located on the double swing gate
that provides access to the site. Sheet 5 (Miscellaneous Details) specifies that the sign will
be a 2'xl' PVC that will indicate the Site Owner and 24-hour emergency contact information.
The operator of the site at the time of construction and contact information will also be
provided on the sign.
5) Exterior Lighting -The proposal indicates that there will not be exterior
lighting. Is there any type of equipment building proposed for this use? If
so, where is it located and will there be exterior lighting? Is the golf shack
to be maintained? Are there utilities to this structure? If so, these should
be shown.
Response: There is no new equipment building proposed for the site. The golf shack is
currently proposed to remain and is serviced by electricity and water. Exact locations of the
underground water and electrical services to this building are not known but will not be
impacted by the site solar development. The golf shack and any maintenance employees
for the solar site will have access to the restroom facilities attached to the restaurant.
6) Rendering or Elevation -There is a 750 s.f. concrete pad shown and labeled
"alternative location of inverters, transformer, and utility disconnects";
what does this look like?
Response: The concrete pad will be a pad at or slightly above (approximately one foot)
existing grade. The size and location will be based on the final equipment selection that will
occu r during final design following permitting. This pad will hold the transformers, inverters
and switchgear necessary for interconnection of the solar array to the grid. It is antiCipated
that based on the location it will be screened from view by the fencing and plantings as
outlined above and on the revised site plan.
7) Other Comments -The Building Inspector has requested that an ANR plan
be submitted showing the solar installation on a separate parcel from the
restaurant. The lines of the ANR plan do not seem consistent with the site
plan. The proposed ANR does not provide a frontage dimension for the
restaurant.

Response: The ANR plan was used as the basis for the property lines in the site plan. It is
not clear where the apparent discrepancy in the property lines is between the site plan and
the ANR plan. For clarification, the property setbacks have been removed from the revised
existing conditions plan. The restaurant property will not be modified or changed as part of
the ANR and therefore the dimensions were not included on the ANR plan.
8) Other Comments -Is there a proposed clearing plan?
Response: The clearing limit is shown on the east and southern sides of the site plan. The
proposed clearing along the west side has been left off the site plan so a detailed cutting
and restoration plan will be ~d prior to construction for review by the Conservation
Commission. We request that the Planning Board approve the project with the condition
that the clearing plan be provided to the board prior to construction.
In a follow up discussion with Fire Chief/Sirois on November 17, 2011, the concerns he
raised were with respect to the turnaround area on the access road at the north end of the
site and vegetation management to avoid a potential brush fire hazard. Accordingly, we
have revised the site plan to allow for a larger turn around area north of the final array for
the Fire Department's brush truck and we are proposing to mow the site a minimum of four
times per year and not allow the grass to grow beyond 8" tall. Further, clippings will be
bagged and removed from the site.
We trust that the additional details provided in this letter will satisfy the comments
submitted on the Site Plan Review application and help to facilitate the Planning Board's

located adjacent to Main Street. The applicant filed a Notice of Intent for this project.
An Order of Conditions was issued on November 10, 2011. The site is zoned Industrial A

Section 1
Proj ect Description
The proposed project consists of the development of an approximately 1.5 MW solar
photovoltaic (PV) array on 9.5 acres of a capped landfill located at 369 Main Street in
Agawam, MA. The development will consist of a ground mounted solar array system to
be installed on ballast blocks set on grade (i.e., similar to the system shown below and
detailed in the attached Site Plans).
Rivermoor-Citizens Agawam, LLC
(Rivermoor) will install, test,
commission, operate and maintain,
and ultimately disassemble and
decommission the solar system.
Components of the system to be
installed at the landfill include solar
panels, mounting substrates, system
foundations, wiring and connections,
power inverters, service and metering
equipment, and interconnection with
the utility.
The approximately 21 acre parcel is
currently owned by Mushy's Golf
Center, LLC (Mushy's). Rivermoor
has obtained a long-term lease of the project site from Mushy's to develop the project
and obtain necessary permits and approvals. The majority of the parcel is currently
cleared and a portion of it is occupied by Mushy's Driving Range and the Main Street
Grill restaurant. Please refer to the USGS Locus Map (Figure 1, Appendix A),
Orthophotograph (Figure 2, Appendix A) and the Existing Conditions Plan (Appendix B,
Sheet 2), which detail the site and current conditions.
According the Town's online GIS information the majority of the site is zoned Industrial
A, however the street front portion is Business B. Zoning Districts are depicted on the
Existing Conditions Plan, Appendix B, Sheet 2. Setbacks are also depicted on the
Proposed Site Plan, Appendix B, Sheet 3. A 1978 Flood Insurance Rate Map (FIRM)
indicates that nearly the entire site is located within the 100-year flood plain, although
the topography shows that just the lower portion to the north of the site is within the
floodplain and not the portion of the site where the project is located.
The limit of work for the project is shown on Sheet 3 of the Permitting Plans in Appendix
B. Within the portion of the site that is located in zoning district Business B; the solar
array will be set back from Main Street by approximately 100' feet and 30' from the
property line of the parcel that fronts Main Street and abuts the property to the south.
The array will be set back 10' from the property line that abuts the project site to the
east. Within the remainder of the site (located in the Industrial A zoning district) a
setback of 30' from the property line shall be maintained along the east and west
boundaries of the site. A setback of approximately 580 feet to the property line shall be
maintained along the northern boundary of the site. The site will be accessed by
Rivermoor, and will be used for intermittent operations and maintenance visits
associated with the proposed project. In total, the project will occupy approximately

413,820 square feet or 9.5 acres of the site. No work activities will be conducted
outside of the limit of work. The limit of work will be clearly marked in the field.

Section 2
Site Plan Requirements
The Site Plan Review application has been developed in accordance with the Town of
Agawam's Zoning Ordinance, specifically Section 180-13, Site Plans. The following
sections address each requirement of Section 180-13.
2.1 Topography
As noted in the Project Description, the majority of the driving range portion of the site
is relatively flat with some short slopes around the exterior of the site and slight gentle
rolls throughout this area. The area appears to be well vegetated with a maintained,
short grass. To the north (i.e., towards the back of the driving range area), the site
drops down to a lower elevation, where a cell phone tower, detention area, and paint
ball course are located. There is a concrete swale that drops from the upper driving
range area to the lower elevation. Contour changes are anticipated only in the area of
the permanent access road. The location of the access road has been chosen to only
minimally impact the current flow of stormwater over the site. Topography of the site
is depicted on the Existing Conditions Plan (Appendix B, Sheet 2).
2.2 Vehicular Traffic Flow &. Parking Areas
The project should represent a decrease in increase in vehicular traffic flow and
consequently there will be no new curb cuts or parking accommodations. There is also
no traffic signage related to the project. A proposed gravel access road will be located
on the west side of the site and will connect the main entrance gate to the existing
access road on the north side of the landfill. This is depicted on the Proposed Site Plan,
Appendix B, Sheet 3. Site access will be limited to monthly maintenance visits by
authorized personnel only. The proposed access road will accommodate the one vehicle
required for the maintenance visits. As such, no additional parking is proposed.
2.3 Drainage
As the installation method for the proposed project will not significantly alter the overall
stormwater fiow patterns on site from existing conditions, a drainage plan has not been
prepared as part of this submittal. For additional information on site drainage, please
see the Stormwater Report, attached as Appendix C. The Stormwater Report was
submitted to the Agawam Conservation Commission earlier this month as part of the
Notice of Intent application.
2.4 Public Utilities
Public Utilities (sewer, water, gas, and electric) are also shown in the existing and
proposed conditions. No changes to sewer, water, or gas infrastructure are being
proposed. To accommodate the interconnection of the project to the existing
infrastructure, modifications will be made to the electrical infrastructure. The proposed
electrical interconnection is shown schematically on the Proposed Conditions Plan
(Appendix B, Sheet 3) and a one-line electrical diagram is attached as Appendix D.

Section 2 Site Plan Reguirements
2.5 Landscaping
The only change in landscaping consists of minor clearing of vegetation on the Site. The
limit of clearing is depicted on the Proposed Site Plan, Appendix B, Sheet 3.
2.6 Sign Location
Signage on the site shall be limited to one sign at each entrance identifying the owner,
warning of danger, and providing a 24-hour emergency contact and phone number.
Each sign shall not exceed two square feet and shall be non-illuminated and comply with
the requirements of Agawam Zoning Ordinance, specifically Section 180-90 (Business
and industrial districts). The location of these signs is shown on the Proposed Site Plan,
Appendix B, Sheet 3.
2.7 Exterior Lighting
There is no exterior lighting proposed as part of this project.
2.8 Rendering or Elevations
There are no buildings being proposed as part of this project. Project plans are attached
in Appendix B.
2.9 Proposed Screening
The project site is going to be surrounded by a six foot high chain link fence. The
portion of the site visible from Main Street will have a 9' tall privacy fence. The fence is
shown on the Proposed Site Plan, Appendix B, Sheet 3.
2.10 Wetland Resources
A resource area delineation was completed as part of the HP Hood solar project.
Wetland resource areas on the project site are limited to inland Bank. Several Bordering
Vegetated Wetland (BVW) areas are located just off-site. Both the Bank and the BVW
have an associated 100-foot buffer zone. Based on the limits of the resource areas and
buffer zones established by the delineation, the footprint of the array and construction
area will not directly impact identified resource areas. The location of these water
resource areas are shown on the Existing Conditions and the Proposed Site plan,
attached in Appendix B.
In compliance with the Wetlands Protection Act (WPA), a Notice of Intent (NOl)
application was submitted to the Agawam Conservation Commission (ACC) in October
2011. A public hearing has been scheduled for November 10, 2011.

Section 3
Operations and Maintenance Plan
The Operation & Maintenance (O&M) plan for the solar array is explained below. It is
not intended that the protocol listed here will replace the current O&M activities for the
landfill, rather update the existing procedures to meet the needs of the solar array.
Prior to the start of construction, the site will be inspected to document current
conditions and areas identified as needing maintenance, if any, will be addressed as
appropriate. Following construction and re-establishment of any vegetation impacted
during construction, the operation and maintenance of the landfill should not be
significantly altered from the current requirements. The site should continue to be
inspected on a semi-annual basis for erosion. Any erosion to the landfill surface should
be stabilized and repaired immediately upon discovery. Additionally, vegetation
management in the vicinity of the panels and at the interface of the ballast/gravel base
will require careful, manual maintenance.
Rivermoor is responsible for maintaining and servicing the solar electric system post
construction. This work will be performed through a combination of Rivermoor
personnel, Rivermoor-approved subcontractors, or authorized vendor (manufacturer of
components used in the solar PV system) representatives. The area where the Solar
Electric System is located and the immediate proximity of the electrical equipment shall
be treated as a Secure Facility, accessible only by authorized personnel. Access to these
locations should be arranged by contacting the Owner or Operator.
Operations at the site will be minimal. The panels are static, and are monitored remotely
on a continuous basis over the internet. On a daily basis, the applicant will be
responsible for responding to alerts from system's automated alert system regarding
potential system malfunction.
Additional maintenance at the site will typically consist of the following.
3.1 Equipment Maintenance
Rivermoor and/or its authorized sub-contractors will conduct the following tasks to
ensure maintenance and proper operation of the solar PV system eqUipment.
• Perform a visual inspection of the equipment including subassemblies, wIring
harnesses, contacts and major components and record ambient operating
temperature.
• Check inverter modules for the following:
IGBT's and inverter board's for discoloration
Power capacitors for signs of damage
Record all voltage and current readings via the front display panel
Check appearance/cleanliness of the cabinet, ventilation system and
insulated surfaces
Check for corrosion on terminals and cables

Section 3 Zoning Requirements
Torque terminals, connectors and bolts as needed
Check all fuses for open or signs of heating (Inverter & Combiner)
Check the condition of both the AC & DC Surge Suppressors
Check the operation of all safety devices (E-Stop, Door Switches, GFDI)
Correct all deficiency detected
• Inspect (clean or replace) air filter elements
• Complete Maintenance Schedule Card and issue a written inspection report
• Install and perform any recommended Engineering Field Modifications, including
software upgrades.
3.2 Site Maintenance
Rivermoor and/or its authorized subcontractors will perform site maintenance activities
as follow, to ensure safety and to maintain site aesthetics.
• Mowing the grass between the rows of racks a minimum of twice a year, possibly
more if the growth of grass requires it. The height of the grass will be similar to
the adjacent cleared area of the site and will be maintained at a level to reduce
the risk of grass fires. No herbicides or chemicals will be used to manage
vegetation.
• Personnel in a pickup-type truck will visit the site monthly to inspect the
inverters for proper performance and perform maintenance as needed. The
condition of signage and proper functioning of access gates will be inspected as
well.
• The access road will be inspected twice a year, in Spring and Fall. Repairs to
potholes and erosion will be made as necessary. Observed trash and litter will
be removed and disposed of off-site.
3.3 Array Cleaning Procedure
Rivermoor and/or its authorized subcontractors will clean the PV panels if the system is
outputting a noticeably lower wattage AC or there is an accumulation of dirt on the
modules. Maintaining module cleanliness is crucial to maximizing system performance.
No harmful chemicals shall be used in the cleaning of the modules. Cleaning of the
panels will be done with water and a soft-bristled broom if needed. Note that the PV
system does not need to be turned off during cleaning.

Section 1
Project Description
The proposed project consists of the development of a solar photovoltaic (PV) array on a
combination of three parcels at 369 Main Street in Agawam, MA (Solar Facility). The
parcels are currently owned by Mushy's Golf Center, LLC (Mushy's). Rivermoor Citizens
Agawam, LLC (Rivermoor) has obtained a long-term lease of the project site from Mushy's
to develop the project and obtain necessary permits and approvals. The majority of the
site to be used for this project is currently cleared and contains a driving range and a
restaurant. Historically, the site contained a solid waste landfill. The landfill was capped In
accordance with DEP requirements during the 1980s.
The solar PV array is proposed primarily In the driving range area and in portions of the
parking lot behind the restaurant. The Permitting Plans, in Appendix A, include a locus
map of the area and an Existing Conditions Plan, which detail the site and current
conditions. The plans include locations of existing and proposed property lines, easements,
and utilities.
The solar array area will be set back from the abutter's property lines by 30' to comply with
property line setbacks outlined in the Zoning Ordinance, To conform to screening
requirements, a vinyl slat chain link fence will be installed along the southern edge of the
project where the project is visible from Main Street.
The solar arrays will be mounted on concrete ballast blocks that will be placed on the
existing ground surface. A gravel access road will be constructed on the west side of the
site to for construction and access during the operation of the solar project.
The topography of the site is relatively flat where the solar development is proposed. The
100 year flood plain is mapped for the site, but the existing conditions plan shows the limit
of the flood plain below the proposed development areas on the site.

Stormwater Management
The project will not result in an increase In impervious area because the solar arrays will
be installed on concrete blocks above the current capped landfill and parking areas on
site. Likewise, the project will not alter the topography and will maintain existing
stormwater runoff patterns. Where current low areas and isolated pondlng exists on the
landfill cap, additional soil will be used to fill these areas and provide positive drainage
as originally intended with the landfill cap.
Runoff from the site will not increase due to the construction of the Solar Facility. The
ballast blocks are relatively small and will provide only very minor change In the flow
path at the location of the actual block, which will very slightly increase the time of
concentration for the site, having no negative impact on the runoff from the site
compared with current conditions.
Since there will not be an Increase in runoff from the site and the project will not
significantly alter existing flow patterns, no stormwater management measures are
proposed.
The Solar Facility will meet the Performance Standards of the DEP stormwater guidelines
and documentation of the compliance with each standard is outlined below.
i. There are no new stormwater conveyances proposed as part of the proJect. As
noted in the narrative above, no Increase in runoff is expected from the proposed
project.
ii. As previously discussed, runoff from the site will not increase due to the
construction of the proposed project.
iii. The proposed project will not result in the loss of annual recharge to groundwater
because there is no significant Increase in impervious area and the native soil
material will not be altered. Further, the site contains a solid waste landfill and
ground water recharge through a landfill or impacted site would not be
encouraged to minimize any potential ground water impact from the historic uses
on the site.
Iv. Since there is no sfgnificant Increase in impervious area, there will be no
decrease in water quality and post-construction Total Suspended Solids will not
be increased. Further, portions of the existing parking area will be converted to
solar use and will be fenced and not allow vehicular access, which will improve
the quality of the stormwater over current conditions.
v. The proposed project is not considered a Land Use With Higher Potential Pollutant
Load. Therefore this standard is not applicable.
vi. The stormwater runoff from the site does not discharge to a Zone II or Interim
Wellhead Protection Area of a public water supply, or a critical area. Therefore
this standard is not applicable.
vII. The proposed project would be considered a mix of redevelopment and new
development.
viii. Haybales and siltation fence are proposed at the perimeter of the limits of work

Permitting Plans and shall be followed by the contractor. Furthermore, because
the project will result in the disturbance of more than one acre of land, the
project will be required to obtain coverage under the NPDES Construction General
Permit (CGP). Coverage under the CGP requires that a Stormwater Pollution
Prevention Plan (SWPPP) be developed for the project and Include construction
period erosion and sedimentation controls as well as requirements for monitoring
and fixing erosion control measures.
Ix. Since there are no changes to the long term stormwater control measures
proposed for the project, the operations and maintenance plan below addresses
only the changes in operation following the installation of the solar system on the
site.
x. The proposed project does not Include changes to the stormwater management
system and will preclude illicit discharges.
The project does incorporate low impact development measures to the extent that the
project will reuse an existing impacted site for generation of electricity. Since the Solar
Facility will not result in a changed sol/ types or topography, the natural hydrology will
be mimicked by the post-development conditions. Slopes and drainage pattems will not
be significantly changed and impervious area has been minimized.

Inspections, Operations and Maintenance
A modified inspection plan is proposed for the site, since there are no stormwater control
measures proposed. It is proposed that a qualified third party, visit the site three times:
1. Initial inspection prior to approval of the Permit
2. Erosion control inspection
3. Final inspection when all work, including landscaping, has been completed
Because no post-construction stormwater management system is proposed, no
stormwater operation and maintenance plan or agreement has been prepared.
The panels are static, and are monitored remotely on a continuous basis over the
internet. Maintenance at the site will typically consist of the following:
1. Mowing the grass between the rows of racks a minimum of twice a year, possibly
more if the growth of grass requires it.
2. Panels will be cleaned with water twice a year.
3. Personnel in a pickup-type truck will visit the site monthly to inspect the inverters
for proper performance and perform maintenance as needed. Proper functioning
of access gates will be inspected as well.

In accordance with our agreement dated October 14, 2011, we have reviewed the
materials submitted by SunLink regarding the Ground Mount solar array located at
the Agawam Landfill in Agawam, MA (copy attached). Our review consisted of
an independent engineering analysis and review of the findings by SunLink.
Our analysis confirms that the ballast requirements shown by SunLink
substantially meet the provisions of ASCE 7-05 and 780 CMR, Chapter 16 as
adopted by the Commonwealth of Massachusetts to resist the design snow load of
55 psf and the design wind speed of I 00 mph. As did SunLink, we used the
information provided by the customer.
Our services did not include an analysis of the SunLink framing system beyond
reviewing those calculations furnished by SunLink.

Summary of Lease Dated May 16,2011 between Rivennoor-Citizens, LLC (Rivennoor) and
Mushy's Golf Center, LLC (Mushy's)
Tenn. The Initial Tenn of this Agreement shall commence on the Construction Completion Date
and shall run for twenty (20) years and thereafter, the Initial Tenn shall automatically be
extended by up to three (3) tenns of five (5) years each, unless Rivennoor gives Mushy's written
notice of its intent not to renew at least one hundred twenty (120) days prior to expiration of the
Initial Tenn or Renewal Tenn then in effect.
Solar Energy Use. Rivennoor shall have the right to possess, occupy and make use of the
Property for the Solar Energy Use, which includes the following:
• Solar Resource and Other Evaluations. Subject to Rivennoor obtaining all necessary
pennits and at Rivennoor's sole cost and risk, Rivennoor shall have the exclusive right to
erect, relocate, maintain, operate and replace sunlight and weather monitoring equipment,
steel towers, concrete slabs, fences and buildings to properly operate, house, protect and
otherwise facilitate Rivennoor's sunlight and weather monitoring activities related to the
Solar Energy Use. The exact location of this equipment and related facilities on the
Property shall be detennined by Rivennoor in its sole discretion and subject to
Rivennoor obtaining any necessary pennits. Rivennoor may also conduct other
meteorological, environmental, soil, and geologic studies at the Property as it deems
necessary to evaluate the Property and develop the Solar Farm at its sole cost and risk.
• Solar Energy Conversion Systems. Rivennoor shall have the right to, and is hereby
granted an easement during the tenn of this Lease for, the free and unobstructed sunlight
on the ·Property. Rivennoor shall have the exclusive right to develop, erect, relocate,
remove, repower, maintain, operate, and replace solar panels ("Solar Panels") and related
equipment of any type and in such quantity on the Property as Rivennoor detennines in
its sole discretion. Such operation shall include the right, and Mushy's does hereby grant
Rivennoor an easement for the tenn of this Agreement over the Property to, create noise
and sound waves as well as electromagnetic waves and interference, and impact view and
visual effects at the Property and any adjacent property of Mushy's; provided that
Rivennoor shall not interfere with the operation of the cellular tower currently located on
adjacent property. The exact location of such Solar Panels and related equipment shall be
detennined by Rivennoor in its sole discretion subject to applicable laws and pennits.
The tenn "Solar Panels and related equipment" includes all equipment and improvements
necessary or useful for the conversion of solar energy into electricity and the control and
transmission of the same, including Solar Panels, foundations, and concrete pads,
footings, guy wires, anchors, fences, and other fixtures and facilities, staging areas for the
assembly of equipment, required lines, and substation facilities to transfer power from the
generators to power transmission lines, energy storage devices, and other power

production equipment. The Solar Panels and related equipment will comply with all
local, state and federal requirements concerning safety and product quality that are in
effect at the time of their installation, and Rivermoor will install the Solar Panels and
related equipment in a manner that is consistent with accepted practices in this industry.
Rivermoor's rights under this Section 2.2 are subject to the rights of existing Rivermoors
and the existence of any existing towers and poles and existing trees on abutting property.
Mushy's warrants and represents that Mushy's has provided Rivermoor with true and
complete copies of the leases with all such existing Rivermoors (the "Existing Leases").
In addition, nothing herein shall be construed to prohibit Mushy's from planting trees,
shrubs and other vegetation on abutting property provided that such plantings do not
exceed fifteen (15) feet in height.
• Transmission and Communication Facilities. Rivermoor shall have the exclusive right,
and is hereby granted an easement over the Property for the term of this Lease to, erect,
install, remove, maintain, repair, operate, and replace facilities for the storage, collection,
distribution, step-up, step-down, wheeling, transmission, and sale of electricity and for
communications solely in connection with Solar Panels and related equipment, including
the following, at such locations on the Property as Rivermoor shall determine,
underground and/or overhead distribution, collection, and transmission lines;
underground and/or overhead control, communications, and radio relay systems and
telecommunications equipment; energy storage facilities; interconnection and/or
switching facilities, circuit breakers, transformers; cables, wires, fiber, conduit, footings,
foundations, towers, poles, crossarms, guy lines and anchors, and any related or
associated improvements, fixtures, facilities, appliances, machinery and equipment.
• Roads and Access. Rivermoor shall have the exclusive right (which may be shared with
the Mushy's to the extent necessary), and is hereby granted an easement over the
Property for the term of the Lease, for vehicular and pedestrian access, ingress, and
egress to, from, and over the Property, at such locations as Rivermoor shall determine, for
purposes related to or associated with the Solar Farm and/or the transmission facilities
installed or to be installed on the Property or elsewhere; which, without limiting the
generality of the foregoing, shall entitle Rivermoor to install and use new roads on and
across the Property and to use and improve any existing and future roads and access
routes on the Property and across any access routes over which Mushy's, or other
Rivermoors have the right to travel provided such use does not prevent access to other
property of Mushy's or any adjoining Rivermoor's property. Mushy's further grants
Rivermoor the rightto gate any roads on the Property, and if so doing, Rivermoor shall
provide Mushy's with a key(s) or other means of affording 24-hour access through said
gate(s), which Mushy's may share with tenants of other property owned by Mushy's to
the extent that such tenants need to pass through such gate( s) for access to property
leased from Mushy'S.

Surrender of Property. On the termination of this Agreement, Rivermoor shall peaceably and
quietly leave, surrender and return the Property to Mushy's. Rivermoor agrees and hereby
covenants to dismantle and remove all equipment, improvements, fixtures and other property
owned or installed by Rivermoor or its affiliates on the Property (provided that all footings and
foundations shall be removed within one hundred thirty-five (135) days from the date of
termination.
Reserve Fund: Beginning on the tenth (10th) anniversary of the commencement of the Initial
Term and continuing on each subsequent anniversary of the commencement of the Initial Term,
Tenant shall cause the Reserve Amount ( defined below) to be placed into a separate account in
Tenant's name (the "Reserve Account"). Funds in the Reserve Account shall be used only to
pay costs associated with the satisfaction of Tenant's obligations set forth in Section 11.3 above,
provided that once Tenant has satisfied its obligations set forth in Section 11.3 above, Tenant
may use the Reserve Fund for any purpose desired by Tenant. Upon written request from
Landlord, Tenant will from time to time provide Landlord with statements evidencing amounts
in the Reserve Account. The term "Reserve Amount" shall mean Five Thousand Dollars
($5,000).
Other:
• Compliance with Law. Rivermoor shall at all times comply in all material respects with
all municipal, state, and, federal ordinances, rules, and statutes applicable to Rivermoor's
operations on and use of the Property; at Rivermoor's sole cost and expense.
• Liens. Rivermoor shall keep the Property at all times free and clear of any liens for labor,
services, supplies, equipment, or materials purchased by Rivermoor.
• Hazardous Substances. Rivermoor shall not use, store, dispose of, or release on the
Property or cause to exist or be used, stored, disposed of, or released on the Property as a
result ofRivennoor's operations, any substance which is defined as a "hazardous
substance", "hazardous material", "toxic substance" or "solid waste" in any federal, state,
or local law, statute, or ordinance, except in material compliance with all applicable laws.
Should any claim or action be brought against Rivermoor in connection with its
operations with respect to any of the foregoing, Riverrnoor shall immediately notify
Mushy's and shall indemnify Mushy's from all costs, fmes, penalties or fees associated
with such claim or action.
• Hazardous Substances. Cont. Except as set forth on Schedule 6.6 hereto, Mushy's is not
aware of the existence of any substance which is defmed as a "hazardous substance",
"hazardous material", "toxic substance" or "solid waste" in any federal, state or local law,

statute or ordinance (collectively, "Hazardous Substances") on the Property except in
material compliance with all applicable laws. Mushy's shall not use, store, dispose of or
release on the Property or cause to exist or be used, stored, disposed of or released on the
Property any Hazardous Substances except in material compliance with all applicable
laws. Mushy's shall be responsible for all monitoring activities and other obligations
with respect to the condition of the Property under the letter described on Schedule 6.6
and any applicable federal, state or local law, statute or ordinance, and Rivermoor will
allow Mushy's and Mushy's's agents access to the Property upon at least 24 hours
advance written notice for purposes of such monitoring activities and other obligations,
provided that Mushy'S and Mushy's's agents will exercise reasonable efforts to avoid or
minimize interference with Rivermoor's operations in conjunction with such monitoring
obligations and other obligations. Should any claim or action be brought against
Mushy's or in connection with the Property with respect to any of the foregoing, Mushy's
shall immediately notifY Rivermoor and shall indemnifY Rivermoor from all costs
associated with such claim or action, provided, however, that such indemnity shall not
apply to the extent that any such claim or action results from any disturbance by
Rivermoor of any Hazardous Substances on the Property as described in the documents
listed on Schedule 6.6 hereto.
Personal Property. Rivermoor's personal property, equipment, machinery, and fixtures
comprising or used in conjunction with the Solar Farm, including without limitation the
Solar Panels and related equipment (collectively, the "Solar Farm Equipment") shall be
and remain the personal property of Rivermoor no matter if affixed to the ground, and
shall be removable by Rivermoor at any time. Any roads or parking areas constructed by
Rivermoor on the Property will become the property of Mushy's upon the expiration or
earlier termination of the Term.
• Further Assurances. Mushy's and Rivermoor shall cooperate with one another and shall
act in good faith to execute such additional instruments or such modifications to existing
instruments as may be necessary to realize the Solar Farm, including without limitation,
reasonable amendments hereto as may be required by any Lender or required in
connection with the transfer by Rivermoor of the rights granted under this Agreement.
Mushy's expressly agrees that it will from time to time enter into reasonable
nondisturbance agreements with any Lender which requires such an agreement stating
that Mushy's shall recognize the rights of the Lender and not disturb its possession of the
Property so long as it is not in default of any of the provisions of this Agreement.
Mushy's agrees that within ten (10) days after receipt of a written request by Rivermoor
it shall: (a) join in all grants for rights-of-way and easements for electric and other public
utilities and facilities and any other electric power purpose including any power
transmission line as Rivermoor shall deem necessary or desirable for its development and
use of the Property, provided that the location of such rights-of-way and easements shall
be subject to Mushy's's consent, which shall not be unreasonably withheld or delayed;

and (b) join with Rivennoor in requesting any and all zoning changes or other land use
pennits and/or approvals necessary for Rivennoor's development and use of the Property
as contemplated by this Agreement.
