RECITALS
A. Landlord owns and desires to let 91 Ramah Circle North, and industrial building and related
improvements upon land located in Agawam, Ma. Said land,building and related improvements
are hereinafter referred to collectively as the"Leased Premises''described as follows:
approximately 3,,300 S.F. of commercial space from the total area in entire building of 4,500 S.F..
AGREEMENT
The Landlord and Tenant hereby mutually agree and covenant as follows:
1. LEASE
Landlord hereby leases to Tenant, and Tenant hereby hires from Landlord, for the term hereinafter
provided,the Leased Premises subject to the easements and deed restrictions, if any
2. TERM
The term of this Lease shall be 2 years commencing on January 1, 2002 and ending at noon
December 31, 2004. If any such date falls on a Sunday or a holiday, then this Lease shall end at
noon on the business day next following the aforementioned date.
3. RENEWAL
After the expiration of the first 2 year period of the lease, this lease shall become a month to
month lease terminable with 30 days notice by either party to the other. Rents and terms shall be
re-negotiated and renewable along with the date and renewal of the Used Car License with the
Town of Agawam.
4. RENT r-
During the term of this lease,the annual rental rate of$15,600 is payable by the T*4 eq"
monthly installments of$1,300 beginning on the first day of January, 2002 and a like sum on-,the
first day of the next 23 calendar months thereafter at the address herein provided iR r the givWg of

Lease, such notice or demand shall be in writing and shall be delivered personally or forwarded by

6. USE f
Tenant shall us the Leased Premises only for the purposes related directly in connection with the
Tenant's business. Landlord hereby warrants that such use by Tenant shall be permissible under
the zoning classification of the Leased Premises. Tenant, in the use of the Leased Premises, shall
comply with all the applicable Federal, State, County and City laws, ordinances, rules and
regulations, and shall not use the Leased Premises so as to constitute a nuisance or cause
cancellation of the fire insurance covering the Leased Premises.
7. REPAIRS AND MAINTENANCE
7.1 Tenant shall at its own expense keep and maintain the Leased Premises in good
condition and repair so as to tender it to Landlord at Lease termination in the same condition as
received, ordinary wear and tear, damage by fie or other casualty,the elements or acts of God
excepted_
7.2 Landlord shall at its own expense keep and maintain the Building exterior, all
structural portions of the Building(including roof), all paved surfaces in good condition and
repair.
7.3 Tenant shall at its own expense make all ordinary repairs to and provide for the routine
maintenance of the heating plant,air-conditioning or air-cooling units,and other similar fixtures
on the Leased Premises, provided, however, that Tenant is under no duty to repair said fixtures if
the cost of such repair would exceed fifty percent(50%) of the cost of replacement. _

7.4 Landlord shall at its own expense repair or replace the heating plant,,air-egndit }ning
or air-cooling units, and other similar fixtures on the Leased Premises with others-of aeleal(t equal
efficiency quality and capacity in the event the cost of making any needed repaut wotid exceed
fifty (50%) of the cost of replacement. Landlord is under no duty to replace and' tine wbich has
been placed or installed on the Leased Premises by Tenant. }'

8.1 Tenant shall not make any alterations or additions to the Leased Premises Viftdt fi t
obtaining Landlord's written approval. However, Tenant without approval may make interior
alterations and improvements, if such alterations and improvements are minor changes which do
not damage,reduce the value of, or impair the structural strength of the Building„ unless
otherwise agreed to in writing, such improvements shall upon expiration or termination of this
Lease become the property of the Landlord.
8.2 Trade fixtures placed or installed upon or within the Leased Premises by the
Tenant shall remain the personal property of Tenant.
8.3 Upon the termination of the Lease, Tenant shall restore the Leased Premises to
Landlord in the same condition as when Tenant received the same, excepting improvements made
by Tenant with the written approval of Landlord,repairs which are the responsibility of the
Landlord, ordinary wear and tear, damage by fire or other casualty, or the elements or acts of
God.
9. INSPECTION
Landlord shall have the right to access to the Leased Premises at reasonable times for the
purposes of examination and inspection, making repairs, alterations or improvements to the extent
permitted herein, or exercising any of the rights of Landlord under this Lease.

Tenant shall pay all charged and expenses for electricity, water sewerage, heat, gas power, steam
and all other services used or consumed by it in connection with the maintenance and operation of
the Leased Premises or Tenant's business. Tenant shall pay for snow removal, rubbish removal
and lawn care if needed.
11. Tenant shall pay one-half of the Real Estate Tax expense for the duration of the term
of the Lease.

15. QUIET POSSESSION

performing all other terms, conditions, and provisions herein contained on the kart of Tenant to be
kept, observed and performed, shall during the full lease term,peaceably and quietly have, hold
and enjoy the Leased Premises for the full term of this Lease.
16. DEFAULT
16.1 If the Tenant shall default in the payment of rent or in the payment of any sum due
and owing by Tenant to Landlord, and shall fail to rectify such default within 15 days after being
served with written notice thereof by Landlord; or
16.2 Tenant shall make an assignment for the benefit or creditors; or
16.3 Tenant shall file a petition relating to bankruptcy or any other applicable stature; or
16.4 An attachment for execution shall be levied upon Tenant's property or interest under
this Lease, and shall not be satisfied or released within thirty(30)days thereafter, or
16.5 An involuntary petition in bankruptcy shall be filed against the Tenant, or a receiver
of trustee for all or any part of the property of Tenant shall be appointed by any court, and such
petition shall not be withdrawn, dismissed or discharged, or such receiver or trustee removed,
within sixty(60)days from the filing or appointment thereof; or
16.6 Default shall be made in the performance or observance of any other covensnt,
agreement, obligation, provision or condition to be kept or performed by Tenant undere
provisions of this Lease and such default shall continue for thirty(30)days after writte4,no*Ce
thereof given by Landlord to Tenant; -
then and in any such events the Landlord may at its option enter the Leased Premises and amain
have, repossess and enjoy the same as if this Lease had not been made, and thereup"s,tease,
and everything contained on the part of Landlord to be done and performed shall cease, t `erininate
and be utterly void without prejudice, however,to the right of Landlord to recover from the
Tenant all rent due up to the time of entry. In case of such default and entry be Landlord,
Landlord shall attempt to relet said Leased Premises for the remainder of said term for the rent

Obtainable and may recover from Tenant any deficiency between the amount obtained and the
amount hereinbefore reserved.
In the event the Tenant fails to pay,when due for any repairs or improvements on the Leased
Premises made by the Tenant, or in Leased Premises which he is obligated to pay by the terms of
this Lease, or fails to make repairs as herein provided,then in addition at all other remedies
provided by this lease,the Landlord may,but is not obligated to,upon Tenant's failure to cure
such default within thirty(30) days after receipt of written notice from Landlord which specifies
the default complained of, pay any such charges and matte such repairs, and the amount or
amounts so paid or expended therefor shall become due and payable immediately from Tenant to
Landlord; and if Tenant shall not repay any such amount or amounts upon demand, said amount
or amounts shall be added to, and become a part of, the rent to be paid by Tenant when the next
regular installment of rent becomes due.
In the event the Landlord refuses or neglects to do any of the things specified to be done by the
Landlord under the terms of this Lease,then the Tenant may,but is not obliged to,upon the
Landlord's failure to cure such default within thirty(30)days after receipt of written notice from
the Tenant which specifies the particular default complained of mare such payment or do or
cause to be done such things at the Landlord's expense. All money advanced or expended by
Tenant in connection to the above shall be charged against the rents accruing under the Lease and
shall have the same effect as though the amount had been paid as rent to the Landlord.
17. INDEMNIFICATION
Tenant shall indemnify Landlord and hold it harmless from and against any direct damage suffered
or liability incurred on account of bodily injury to any person or persons on or about the Leased
Premises during the term of this Lease occasioned by the negligent act or omission, or breach of
any covenant contained herein by Tenant,its officers, agents or servants. This shall include the
expense of reasonable attorney's fees.
18. INSURANCE COVERAGE
Tenant shall cagy its own Insurance Policy covering all contents and equipment,"d cic�
belonging to Tenant that enables him to carry on his everyday business.
Tenant shall carry its own Insurance Policy covering liability on the Leased Premises Ur tt�
