Dachos - Director of Planning & Community Development ✓ OS3422 REV.8-95 PURCHASE AND SALE AGREEMENT THIS AGREEMENT dated November 1998 by and between BERKSHIRE POWER COMPANY, L.L.C.,a Massachusetts corporation having a principal place of business at 200 High Street, 15th Floor, Boston, Massachusetts (referred to herein as "Seller"),.and WESTERN MASSACHUSETTS ELECTRIC COMPANY, a Massachusetts corporation having its principal place of business at 174 Brush Hill Avenue, West Springfield, Massachusetts ("Purchaser"). WHEREAS the Seller is the owner of certain real estate located in Agawam, Massachusetts; and containing 5 acres, as shown on the attached Exhibit "A". WHEREAS the Seller desires to sell said real estate, and Purchaser desires to purchase said real estate, at the price and on the terms and conditions hereinafter set forth. NOW THEREFORE, in consideration of the mutual covenants contained herein,the parties agree as follows: 1. SALE AND PURCHASE. The Seller shall sell and the Purchaser shall purchase the Property upon the terms and conditions hereinafter stated. 2. PURCHASE PRICE. The Purchaser shall pay the Seller a purchase price of One Dollar ($1.00) (the "Purchase Price") subject to any adjustments and credits as provided in this Agreement. Said Purchase Price, as so adjusted, shall be paid in cash at the time of closing. 3. TITLE. (a) The Purchaser shall bear all costs for title examinations, abstracts, surveys, title insurance, or other inspections of the title to the Property that the Purchaser may require. (b) The Purchaser agrees to take title to the Property subject to the following only: provisions of all applicable building, zoning, health, land use control and other laws, ordinances or regulations; real estate taxes for the current year not yet due and payable; liens for municipal improvements, if any; and covenants, easements or restrictions of record to the extent that such covenants, easements or restrictions do not interfere with Purchaser's intended use of the premises. (c) The Purchaser shall have a period of forty-five (45) days from Cie date of this Agreement (the "Title Examination Period")to examine the title to the Property. In the event that the examination of title reveals any encumbrances, other than those referenced at Subparagraph (b) above, or defects in title that render title to the Property unmarketable or that materially interfere with the contemplated use of the Property by Buyer, Purchaser shall, prior to the end of the Title Examination Period, notify the Seller of such claimed encumbrance or defect. The Seller shall then have a period of thirty(30)days after receipt of the Purchaser's notice to elect to eliminate such claimed encumbrance or defect prior to closing; if the Seller does not so elect, the Purchaser may terminate this Agreement within fifteen (15)days after the expiration of the Sellers' thirty (30)day election period, and upon such termination, Seller shall return the deposit with interest as described in Section 2(b) and all remaining obligations of the parties to each other under this Agreement shall be terminated. 4. ADJUSTMENTS. Rents and all other taxes, water charges or other governmental charges and assessments applicable to the Property shall be apportioned between the parties as of the Closing Date in accordance with local custom. The Seller shall pay any conveyance taxes imposed on the Seller by Massachusetts law. 5. CLOSING DATE. Subject to the other terms of this Agreement, the closing shall be held at the offices of Northeast Utilities Service Company, 300 Cadwell Drive, Springfield, Massachusetts, or at the Hampden County Registry of Deeds or at the office of Purchaser's lender if so required by 2 Purchaser's lender, on the date and time established by mutual agreement of the parties not later than forty-five (45) days following notice from the Seller to the Purchaser in accordance with Section 7, but in.no event later than December 31, 1998 (the "Closing Date"). 6. CLOSING. On the Closing Date,the Seller shall relinquish its possession of the Property to the Purchaser and convey title by means of a deed without covenants of title. On the Closing Date, the Purchaser shall pay the Purchase Price in accordance with Section 2 above. 7. APPROVALS a) The Parties obligations hereunder are subject to the approval of this transaction by the Zoning Board of Appeals. b) The Purchaser's obligation to purchase the Property is contingent upon Purchaser's ability to obtain all necessary permits or approvals for Purchaser's intended use of the premises. If Purchaser is denied any such permit or approval or is otherwise unable to obtain such permits or approvals within forty-five (45) days of the date of this Agreement, Purchaser may elect to terminate the Agreement by providing written notice to Seller within 10 days of the expiration of said forty- five (45) day period. Termination pursuant to this subparagraph shall not be deemed a default. If termination is elected under this Paragraph, all obligations of the parties hereunder shall cease. Upon Purchaser's receipt of all necessary permits or approvals, Purchaser shall provide notice to the. Seller that this contingency has been satisfied. 8. INSPECTIONS. (a) After the date of this Agreement, Purchaser and Purchaser's designees shall have reasonable access to the Property from time to time as and when Purchaser shall deem necessary for the purpose of making, at the sole cost and expense of Purchaser, such measurements, surveys, examinations, inspections,tests and analyses of the Property, including without limitation soil borings, groundwater and other environmental testing, ("Inspections")as Purchaser shall deem necessary or desirable. Prior to entering the Property,the Purchaser shall notify the Seller 24 hours 3 in advance of its intended activities. Upon the completion of such activities, the Purchaser shall promptly restore the Property to a condition substantially similar to its condition prior to the start of such activities. Should Purchaser elect to terminate this Agreement pursuant to Paragraph 9(b), then only in that event shall Purchaser provide Seller with copies of all reports resulting from the Inspections within fifteen (15) days of election to terminate. The Purchaser agrees to keep the results of the Inspections confidential, and shall not disclose such information to third parties unless compelled to do so by court or regulatory order or similar process. The provisions of this Agreement regarding access to the Property shall supersede any previous agreements between the parties. (b) The Purchaser may terminate this Agreement upon written notice received by Seller within forty-five (45) days from the date of this Agreement if the results from any Inspection indicates that an environmental condition or other site condition exists at the Property which may materially and adversely affect the Purchaser's intended use of the Property or may result in the imposition on Purchaser of liabilities in connection with such conditions. Upon termination pursuant to this paragraph, all obligations of the parties to each other under this Agreement shall be terminated. 9. CONDITION OF PROPERTY. Subject to the provisions of Section 9, Purchaser has had an opportunity to examine the Property and any improvements and accepts the Property and such improvements in "AS IS" condition without any warranty or reliance upon oral or written representations from the Seller concerning the conditions of the Property or its improvements, including but not limited to dimensions, soil conditions, groundwater or other environmental conditions, municipal restrictions on use, encumbrances or uses by third parties, provided however, that Purchaser has relied upon public record information, including but not limited to Hampden 4 County Registry of Deed records, state and federal government Department of Environmental Protection records, municipal tax and assessment records and municipal zoning information. Purchaser further agrees to accept the Property on the Closing Date but for material changes in such condition after the date hereof(unless such changes are caused by the acts of the Purchaser or Purchaser's designees). Notwithstanding the foregoing, Seller shall provide to Purchaser upon execution of this Agreement copies of any reports in its possession on the environmental condition of the Property ("Seller's Reports"). Seller's Reports shall be provided for Purchaser's information only, and Seller shall incur no liability to Purchaser with respect to the scope of Seller's Reports,the accuracy thereof and/or the information contained therein. Purchaser acknowledges that Seller's Reports are deemed to be confidential and proprietary, and shall not disclose Seller's Reports to any third party; provided however, that Purchaser shall be permitted to provide copies of the Seller's reports to its consultants in connection with its Inspections of the Property, subject to the same restriction of confidentiality. 10. PURCHASER'S REPRESENTATIONS. The Purchaser warrants and represents to and covenants with the Seller as follows, such representations, warranties and covenants to be true as of the date hereof and as of the Closing Date: (a) Purchaser has full power and authority to carry out the obligations of this Agreement; (b) The obligations of Purchaser under this Agreement are valid obligations of Purchaser and are legally binding on Purchaser; (c) The transactions contemplated by this Agreement are not in violation of, nor prohibited by, the terms of any agreement, license, or other commitment, oral or written, of Purchaser; and (d) Purchaser is not, nor is it acting on behalf of, an officer or director of the Seller, or of its affiliates. 5 It. SELLER'S REPRESENTATIONS. The Seller warrants and represents to and covenants with Purchaser as follows, such representations, warranties and covenants to be true to the best of the Seller's knowledge as of the date hereof and as of the Closing Date: (a) Seller has full power and authority to carry out the obligations of this Agreement; (b) The obligations of the Seller under this Agreement are valid obligations of the Seller and are legally binding on Seller; and (c) The transactions contemplated by this Agreement are not in violation of, nor prohibited by,the terms of any agreement, license or other commitment,oral or written of the Seller. 12. BROKER. The Purchaser represents that it involved no real estate agent or broker in this transaction, and hereby agrees to indemnify and hold harmless the Seller from any and all liability, loss, cost or expense, including reasonable attorneys' fees, damages, liens or judgments arising from any claim, action or proceeding for commission or other compensation by any broker or agent claiming to have made Purchaser aware of the Property or to otherwise have brought about this transaction. 13. NOTICES. (b) In the event of a taking as referred to in section 16(a), Purchaser shall either(i) elect to rescind this Agreement,whereupon all obligations of the parties to each other shall terminate and the Seller shall return the deposit with interest as described in paragraph 2(a), or(ii) accept a conveyance of the Property pursuant to the provisions of this Agreement, subject, however, to the condemnation claim, in which event the Purchaser shall pay the full Purchase Price and Seller shall 7 assign Seller's right to such condemnation claim to Purchaser. Seller shall not enter into any agreement with the condemning authority fixing the final award for such condemnation without the prior written consent of Purchaser. 16. COUNTERPARTS. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute but one in the same agreement. 17. APPLICABLE LAW. This Agreement is being executed and delivered in the Commonwealth of Massachusetts and shall be construed and enforced in accordance with the laws of said State. 18. BINDING EFFECT. The covenants and agreements herein shall bind and inure to the benefit of the Seller and the Purchaser and the respective heirs, executors, administrators, successors and assigns of the parties hereto, but the Purchaser shall not assign its rights to purchase the Property without the prior written approval of the Seller, which approval shall not be unreasonably withheld. 19. RECORDING. This Agreement shall not be recorded by the Purchaser, and any such recording shall constitute a default hereunder. 20. ENTIRE AGREEMENT. This Agreement constitutes the entire understanding between the parties with respect to the Property and no oral statements, representations, promises or understanding not set forth in this Agreement shall bind the parties unless reduced to writing and signed by both parties. 21. L NENFORCEABILITY. The invalidity of any provision of this Agreement shall not affect the enforceability of the remaining provisions so long as the material purpose of the Agreement can be effectuated. 8 22. CAPTIONS. The captions set forth in this Agreement are for reference only and do not define, describe, extend or limit the scope or intent of this Agreement or any provisions thereof. App. Ct. 838 (1997), the Appeals Court treated Berkshire's electric power generating plant as an industrial use permitted as of right in the Industrial District B. 2. The Tower is Exempt from the 40' Height Limitation in Zoning Code„§ 180-63. The Zoning Code contains the following limitation regarding height in the Industrial District B: Industrial buildings shall not exceed two (2) stories, forty (40) feet in height, except with approval of the Board of Appeals after a public hearing. These provisions shall not apply to required equipment appurtenant to industrial buildings, except that smokestacks, water tanks, grain elevators and the like are not permissible except after approval of the Board of Appeals after a public hearing. Zoning Code § 180-63 (emphasis added) A. The Tower is Not a Building On its face, the height limitation contained in § 180-63 applies only to industrial "buildings." The Zoning Code defines a building as: A combination of any materials, whether portable or fixed, having a roof to form a structure for the shelter of persons, animals or property. Zoning Code § 180-2.2 The tower clearly does not fit within this definition: (1) it has no roof, and (2) it does not provide shelter for persons, animals or property.- B. The Tower is Required Equipment Appurtenant to the Substation The tower is also exempt from the height restriction because it is required equipment appurtenant to the substation. The Zoning Code does not define "appurtenant", but Blacks Law Dictionary defines it as"accessory or incident to." The switching station will straddle land owned by WMECo (see attached copies of deeds) and 5 acres land to be acquired by WMECo from Berkshire Power Co. (see attached letter from Berkshire Power dated August 17, 1989). The footprint of the proposed switching station is approximately 2.0 acres in size. The switching station will provide space for a 24 by 40 foot relay and control enclosure and electrical equipment consisting of switching devices, current-limiting reactors, voltage sensing devices, surge arresters, electrical bus, supporting steel structures and foundations and interconnecting control cables and conduits. All switching station structures are less then 40 feet in height except for the 70 foot high line terminal structures which have lightning masts on top. The entire switching station will be fenced and finish graded with 3/-inch trap rock. The switching station is more fully described on the attached drawings. Outside of the switching station, there will be nine new transmission line pole structures (70-80 feet in height) to support the overhead conductors that will connect the switching station to the existing transmission grid. Need It was determined in the System Impact Study which was approved by the Independent System Operator that the proposed switching station is needed to reliably interconnect the Berkshire Power generator to the transmission grid. The proposed switching station is needed to maintain transmission reliability and flexibility. By building the switching station at this location, the existing transmission lines in the area are shortened which reduces exposure to faults and improves reliability. Flexibility is accomplished through switching capability within the switching station which controls power flow on the transmission lines leaving the substation. Under certain contingencies, this switching capability prevents overloads on lines, especially so with the addition of generation at this location on the transmission grid. WMECo has for many years intended to build a substation at this location because of its key location on the grid. INTRODUCTION ' Pursuant to G. L. c. 40A, § 3, Western Massachusetts Electric Company ("WMECO") hereby petitions the Department of Telecommunications and Energy (the"Department") for an 1 exemption from the Zoning By-Laws of the Town of Agawam, Massachusetts ("Agawam Zoning ' By-Laws") for the purpose of constructing a new substation near Moylan Lane in Agawam, Massachusetts. Specifically, VVMECO requests an exemption from the provisions of Agawam ' Zoning By-Laws § 180-63, which precludes structures over 40 feet in height, and from any other 1 provision of the Agawam Zoning By-Laws that may preclude construction of the substation. This exemption is necessary because the substation requires 70-foot high line terminal ' structures and eight 8 new transmission line pole structures (approximately 70-80 feet in height) ru � ( ) P s ( PP Y �' ) ' to support the overhead lines that will connect the substation to the existing grid. The Agawam Zoning Board of Appeals("ZBA") denied WMECO's application for a special permit to allow VRViEC0 to build these facilities. Therefore, WMECO cannot proceed with constructing the substation without the DTE granting VVMECO an exemption from the Agawam Zoning By-Laws with respect to the height of the terminal structures and pole structures. 1 1 ' As shown below, the Department should grant the requested exemption because the substation is reasonably necessary for the public convenience or welfare as it is (1) necessary to connect Berkshire Power Development, Inc.'s ("Berkshire") electric generating facility in Agawam ("Berkshire's facility") to the power grid; (2) needed to maintain transmission reliability 1 and flexibility for WMECO's customers; and (3) designed in a manner that will have minimal impact on the environment. ' IL OVERVIEW OF WMECO AND THE SERVICES IT PROVIDES WMECO, a subsidiary of Northeast Utilities, is an electric company as defined in G.L. c. ' 164, § 1. WMECO is duly organized and existing under the laws of the Commonwealth of Massachusetts and is subject to the jurisdiction of the DTE pursuant to G.L. c. 164. WMEC0 ' serves approximately 193,000 retail electric customers in 59 cities and towns in Massachusetts, ' including Agawam. III. STANDARD OF REVIEW UNDER G.L. c. 40A, § 3 The Department may grant exemptions from local zoning ordinances or by-laws for land ' or structures used, or to be used, by a public service corporation upon finding that the present or proposed use of the land or structure is reasonably necessary for the convenience or welfare of the ' public. See G.L. c. 40A, 3. P § ' In reviewing a petition filed under G.L. c. 40A, § 3, the Department must determine ' whether it meets the following three criteria: (a) whether the petitioner is a public service corporation, consistent with the three-part test applied by the Supreme Judicial Court in Save the-Bay, Inc. v._ ' Department of Public Utilities, 366 Mass. 667 (1975) ("Save the Bay'); 1 2 ' (b) whether the petitioner requires an exemption from local zoning by-laws; and ' (c) whether the present or proposed use of the land or structure is reasonably necessary for the public convenience or welfare. Nextel Communications, D.P.U. 95-59-B at 8 1998 citing New York Cellular Geographic Service Are ( ) g —, a- Inc., D.P.U. 94-111, at 18-24 (1995). IV. WMECO IS A PUBLIC SERVICE CORPORATION To determine whether a petitioner qualifies as a public service corporation for purposes of ' G.L. c. 40A, § 3, the Department relies upon the three-part test articulated in Save the Bay, which ' requires the following analysis: (1)"whether the corporation is organized pursuant to an appropriate franchise from the State to provide for a necessity or convenience to the general ' public which could not be furnished through the ordinary channels of private business"; ' (2) "whether the corporation is subject to the requisite degree of governmental control and regulation"; and (3) analysis of"the nature of the public benefit to be derived from the service ' provided." Save the Ba 366 Mass. at 680, p v. This petition meets this standard, in that WMECO is an electric company as defined in ' G.L. c. 164, § 1. As such, the Department has found that WMECO is a public service corporation. See Western Massachusetts Elec. Co., D.P.U. 90-174/90-175/90-176I90-177, at 5 ' (1990). V. WMECO REQUIRES AN EXEMPTION FROM THE AGAWAM ZONING BY-LAWS TO CONSTRUCT ITS SUBSTATION The proposed substation will be located in the Industrial B zoning district of Agawam. Agawam Zoning By-Laws §180-63 requires approval of the ZBA for industrial buildings in the Industrial B district, which will be over 40 feet in height. Section 180-63 of the Agawam Zoning ' By-Laws provides in relevant part: ' 3 Industrial buildings shall not exceed two (2) stories, forty (40) feet in height, except with approval of the Boui d of Appeals after a public hearing. ' These provisions shall not apply to required equipment appurtenant to industrial buildings, except that smoke stacks, water tanks, grain elevators and the like are not permissible except after approval of the Board of ' Appeals after a public hearing. All of the substation structures are less than 40 feet in height, except for the 70 foot high line terminal structures, which have lightning masts on top. In addition, outside of the substation ' boundaries, there will be eight (8) new transmission line pole structures (70-80 feet in height) consistent with the height of the existing transmission line pole structures within the adjacent WMECO right of way. The new structures are needed to support the overhead conductors and lines that will connect the substation to the existing transmission grid. The line terminal structures ' and new transmission line pole structures must exceed the 40-foot Agawam Zoning By-Laws restriction in order to meet clearance requirements of the applicable codes and safety standards. ' Maps depicting the project are attached as Exhibit X Prior to submission of this petition to the Department, WMECO worked with the various local boards and commissions in Agawam to obtain their approval of the project. WMECO m A obtained site plan approval for the substation from the e Agawam am Planning Board on 10/15/98, ' 1998, and wetlands approval from the Agawam Conservation Commission on 7/23/98. True copies of the Planning Board and Conservation Commission decisions are attached as Exhibit B and C. ' Because of the provisions of Agawam Zoning By-Laws § 180-63, WMECO also sought ZBA approval to erect the structures in excess of 40 feet in height. On September 8, 1998, WMECO submitted an application to the ZBA for a special permit for the Iine terminal structures ' and new poles to exceed the 40 feet height limitation'. From October, 1998 through February 25, 1 ` At the request of the ZBA, VINMCO subsequently withdrew that application and submitted a new application on 4 1 1999, WMECO met with local officials on numerous occasions, and attended four ZBA hearings ' regarding the proposed substation. At these hearings, WMECO presented extensive information and answered questions from the public and the ZBA members regarding the project. However, ' on March 4 1999 the ZBA voted to deny WMECO's application for the special permit to exceed the 40 feet height limitation. A copy of the ZBA's Decision is attached as Exhibit D. ' Accordingly, because the ZBA has refused to grant WMECO a special permit to exceed the 40 feet height limitation, WMECO will be unable to construct the substation without a zoning ' exemption from the DTE_ ' VI. THE REQUESTED ZONING EXEMPTION IS REASONABLY NECESSARY FOR THE CONVENIENCE OR WELFARE OF THE PUBLIC When making a determination as to whether a petitioner's present or proposed use is reasonably necessary for the public convenience or welfare, the Department examines: (1) the ' present or proposed use and any alternatives or alternative sites identified; (2) the need for, or ' public benefits of, the present or proposed use; and (3) the environmental impacts or any other impacts of the present or proposed use. D.P.U. 95-59-13, at 8, citing New York Cellular Geographic Service Arm Inc. D.PU. 94-111 at 18-24 (1995 , Massachusetts Electric ' Comp D.P.U. 93-29/30, at 21-24 (1995); Tennessee Gas Pipeline Company, D.P.U. 85-207, ' at 20-25 (1986). After examining these three issues, the Department balances the interests of the general public against the local interest and determines whether the present or proposed use is ' reasonably necessary for the convenience or welfare of the public. See Town of Truro v. ' Department of Public Utilities, 365 Mass. 407 (1974);New England Power Co.. D.P.U. 95-58, at 3 (1996), D.P.U. 95-59-B, at 8. ' November 19, 1998. ' S A. Description of the Substation and Alternatives Sites ' The proposed substation will be a new 115-kV substation on a site northwest of Hubbard Corner, near Moylan Lane, in the southern portion of the Town of Agawam, Massachusetts. The 1 - substation will straddle a parcel of land owned by WMECO and another parcel of approximately 3.5 acres to be acquired by WMECO from Berkshire, adjacent to Berkshire's facility. The footprint of the proposed substation will be approximately 2.0 acres in size. The substation will provide space for a 24-foot by 40-foot relay and control enclosure, and electrical equipment consisting of switching devices, current limiting reactors, voltage sensing devices, surge arresters, ' electrical bus, supporting steel structures and foundations, and interconnecting control cables and conduits. The entire substation will be fenced and finish graded with 314 inch trap rock. Eight ' new transmission line pole structures will support the overhead conductors that will connect the ' substation to the existing transmission grid. Although the line terminal structure and new pole structures will exceed forty feet, they will be below the height of structures associated with the adjacent Berkshire facility, and consistent with the height of existing transmission pole structures. J tY, g l; WMECO first considered locating the substation wholly within the approximately 125 acres of land it owns adjacent to Berkshire's facility. However, because the vast majority of WMECO's property contains wetland resource areas, WMECO investigated alternative locations ' that would not affect wetland resource areas, consistent with the Massachusetts Wetlands ' Protection Act and the Massachusetts Rivers Protection Act. After consulting with the Massachusetts Division of Fisheries & Wildlife, Natural Heritage& Endangered Species Program ("Division of Fisheries"), WMECO negotiated with Berkshire to transfer approximately 3.5 acres ' of Berkshire's land to WMECO for the substation. This will enable WMECO to locate the substation outside of the wetlands. In connection with the pending transfer, WMECO has agreed to place 25 acres of its adjoining a property under permanent conservation easement, which will P 6 provide wetlands protection and serve as mitigation for potential impacts to the Eastern Box Turtle. WIVIECO also agreed to place an additional five (5) acres of its property under a permanent agricultural easement. B. The Substation is Required to Connect Berkshire's Facility to the Power Grid and to Maintain Reliability and Flexibility on WMECO's Transmission System ' The main of the substation will be to interconnect Berkshire's facility to the purpose tY ' WMECO system. In fact, without WMECO's substation, Berkshire's facility will be unable to provide its full output of electricity to the power grid—electricity that the Energy Facilities Siting Board "EFSB" or"Siting Board" has found necessary for the Commonwealth's overall energy ( g ) arY ' supply. Berkshire Power, 4 DOMSB 221 (1996). The Berkshire facility is expected to be ready for commercial operation by mid-November, 1999. After a lengthy review of Berkshire's facility, the EFSB found that the record demonstrated"a showing of need for 252 MW or more of additional energy resources in the ' Commonwealth for reliability purposes beginning in 1999 and beyond and a likely need for 252 MW or more of additional energy resources in the region beginning in 1999 and beyond." 1 Berkshire Power, 4 DOMSB at 304. Accordingly, the Siting Board found that Berkshire's ' "proposed project is needed to provide a necessary energy supply for the Commonwealth beginning in 1999 and beyond." Id. The Siting Board concluded that the construction and operation of Berkshire's facility is needed for a necessary energy supply su 1 for the Commonwealth P with a minimum impact on the environment at the lowest possible cost beginning in 1999. Id. at .' 346-47.The Department also has reviewed Berkshire's facility pursuant to G.L. c. 40A, § 3. In that proceeding, the Department found Berkshire's facility reasonably necessary for the public convenience and welfare, and granted it an exemption from the Agawam Zoning By-Laws. See 1 7 1 D.P.U. 96-104. Specifically, in that case, after reviewing (1) the need for Berkshires proposed ' facility; (2) the site selection process undertaken by Berkshire and approved by the Siting Board, including alternative sites identified therein and the reviews and permits issued by the Agawam 1 Conservation Commission, Planning Board, and ZBA; and (3) the environmental impacts and ' other impacts of the proposed use, the Department found that in balancing the interest of the general public against the local interest, Berkshire's proposed use of its Agawam site was reasonably necessary for the convenience or welfare of the public. See D.P.U. 96-104 at 45. Thus, the Department found that Berkshire's proposed facility required an exemption from the ' Agawam Zoning By-Laws pursuant to G.L. c. 40A, § 3. Subsequent to these reviews by the EFSB and the Department, Northeast Utilities Service Company completed an analysis of the interconnection for the Berkshire facility, and concluded ' that the proposed substation and related system upgrades were needed to reliably interconnect Berkshire's facility to the transmission grid. The project was submitted to Independent System ' Operator-New England by letter dated June 8 1998, d approved by the NEPO L Regional al ' Transmission Planning Committee on July 20-21, 1998. Copies of relevant documents are ' attached as Exhibit E. By building the substation at this location, the existing transmission lines in,the area will be shortened in length between terminal points, reducing exposure to faults and improving reliability. ' Operational flexibility will be achieved through the switching capability within the substation, which will control power flow on the transmission lines leaving the substation. Under certain ' contingencies, this switching capability will prevent overloads on the lines, especially with the ' addition of generation at this location on the grid. WMECO has for many years viewed this location as a necessary substation site because of its key location on the grid, as evidenced by its ' retention of approximatelyI25 acres of land. 1 9 Because WMECO's proposed substation is both essential and integral to Berkshire's ability to provide a necessary energy supply for the Commonwealth, and is important to the reliability and flexibility of the transmission system the Department should issue a decision ' consistent with its decision in D.P.U. 96-104 and the ISO stud and ant a zoning exemption to co Y� � g P ' WMECO for its substation. ' C. The Location and Design of the Substation Will Minimize Environmental Impacts The location of the substation is designed specifically to minimize any potential impact on ' the environment. As stated above, the substation site is located north of Berkshire's facility and ' south of the WMECO transmission line right-of-away. In exchange for the 3.5-acre Berkshire parcel to be conveyed to WMECO for the substation, WMECO will place 25 acres of its property ' under a permanent conservation easement to mitigate impacts to the Eastern Box Turtle. ' WMECO has also agreed to place an additional five acres in a permanent agricultural easement. This transaction is intended to replicate the agricultural use presently being made on ' the 3.5 acre parcel to be acquired by WMECO, and is being done at the request of the Massachusetts Department of Food and Agriculture. ' The use of the Berkshire parcel will also minimize the impact on wetlands. Instead of attempting to locate the substation wholly on WMECO's existing land, which is primarily ' wetlands, the acquisition of the Berkshire parcel will enable WMECO to avoid wetlands. The ' Division of Fisheries supports the proposed site because, among other reasons, "the proposed site would have fewer environmental impacts than the alternative site [ii e.. WMECO's parcel] and . . . those impacts it does have can more easily be mitigated." See June 29, 1998 Division of ' Fisheries Letter, attached as Exhibit F. The construction site shall be left in a stable condition at the close of each day. Erosion and sedimentation controls shall be continuously monitored to ensure proper operation. ' 25. If any alteration of the wetland/resource area does occur, the Commission shall impose such measures as it finds necessary to ' protect and restore the areas of statutory interest. 26. This parcel shall carry the following restrictions, and a covenant ' so noted on the deed: t "This lot contains certain areas or abuts areas protected by Chapter 131, Section 40 of the General Laws of Massachusetts known as the Wetlands Protection Act and comes under the 1 . This study assesses the impact of interconnecting the proposed generating station into the Western Massachusetts Electric Company's (WMECO, an NU System Company) 115 kV bulk power transmission system. Presented are results of detailed analyses determining WMECO's capability to interconnect and provide transmission service to The Project. Included are preliminary non-binding cost estimates of any needed transmission construction and the identification of any potential restrictions in Agawam and adjacent areas in Massachusetts and Connecticut associated with increased generation in Agawam. The point of delivery is the NEPOOL PTF system. A substation will be required near South Agawam Junction to interconnect the Project to the WMECO system. For purposes of this study this substation will be referred to as South Agawam Substation. ' Berkshire Power causes post- contingency thermal loadings above emergency ratings on the WMECO 115 kV transmission system in Agawam and adjacent areas in Massachusetts and Connecticut.. Extensive testing of design criteria contingencies indicate the overloads occur on ' the 115 kV circuits from South Agawam Substation (MA) to North Bloomfield Substation (CT), Granville Junction to Southwick Substation (MA) and Southwick Substation to North Bloomfield Substation. The following is a summary of the transmission construction required on the WMECO electrical network to reliably serve the proposed Berkshire Power. Also included is an estimate of the cost and construction time for South Agawam interconnection substation, a direct assignment facility. The planned construction is a result of simulations performed on load, generation and transmission configuration models that represent the year 2000.
